You will be asked in the questionnaire to attach a photo or scan of supporting documents of the shareholder structure and of your identity and that of your shareholders. This will allow us to carry out legal verification of our clients' identities.

Ultimate beneficiaries

One of our obligations is to identify so-called ‘Ultimate Beneficiaries ’of our clients.


The Ultimate Beneficiary of a company is:


i) the natural person(s) who directly or indirectly holds an adequate percentage of the voting rights or of the ownership interest in that company, including the holding of bearer shares.


An interest held by a natural person of more than 25 per cent of the voting rights or of more than 25 per cent of the shares of the company shall be deemed an indication of a sufficient percentage of the voting rights or of a direct interest within the meaning of subsection 1.


An interest held by a company controlled by one or more natural person(s), or by several companies controlled by the same natural person(s), of more than 25% or of more than 25 % of the company's capital shall be deemed to be indicative of a sufficient indirect interest within the meaning of the first paragraph.


ii) the natural person(s) controlling that company by other means.


In particular, the exercise of control by other means may be determined according to the criteria referred to in Article 22(1) to (5) of Directive 2013/34/EU of the European Parliament and of the Council of 26 June 2013 on the annual financial statements, consolidated financial statements and related reports of certain types of undertakings, amending Directive 2006/43/EC of the European Parliament and of the Council and repealing Council Directives 78/660/EEC and 83/349/EEC.


iii) the natural person(s) belonging to senior management if, after exhausting all possible means and provided there are no grounds for suspicion, none of the persons referred to in points (i) or (ii) has been identified, or if there is any doubt as to whether the identified person(s) is/are the beneficial owner(s).


Politically exposed persons

One of our obligations is to identify so-called ‘politically exposed persons’ (PEP), their family members and their close associates among our client base.


A PEP is someone who is in, or has been in, an important political, judicial or administrative profession within the last year, such as:

(a) heads of state, heads of government, ministers and secretaries of state;

(b) members of parliament or members of similar legislative bodies;

(c) members of governing bodies of political parties;

(e) members of courts of auditors or boards of directors of central banks;

(f) ambassadors, consuls, fiduciaries and senior officers of the armed forces;

(g) members of the management, supervisory or governing body of public enterprises;

(h) directors, deputy directors and members of the board of directors or holders of an equivalent position in an international organisation;
